  • Law 9/2017, of 8 November, on public sector contracts, transposes European Parliament and Council Directives 2014/23/EU and 2014/24/EU, of 26 February 2014, into the Spanish legal system.
  • Royal Legislative Decree 1/2010, of 2 July, approving the revised text for the Spanish Capital Company Act.
  • Law 6/2023, of 17 March, on Securities Markets and Investment Services.
  • Law 47/2003, of 26 November, General Budgetary Law.
  • Law 33/2003, of 3 November, on Public Administration Assets, and all that ensues from its application.
  • Law on Air Safety (under Title 6) as set forth in the current version adopting the State Operational Safety Programme and amending Law 21/2001 and other general applicable regulations.

The company's articles of association were passed on 14 October 2014 and registered in the Companies Register on 21 October 2014. The last modification to the text was approved by resolution of the General Shareholders’ Meeting held on 16 April 2026. The deed of amendment of the company's articles of association are pending registration with the Companies Register. The latest amendment takes effect from 16 April 2026.

Regulations governing the General Shareholders' Meeting

The purpose of the Regulations of the General Shareholders' Meeting is to develop the basic rules for calling, preparing and holding the Company's General Shareholders' Meeting, in accordance with the provisions of the applicable mercantile legislation, the Company's Bylaws, the Good Governance Unified Code of Quoted Companies and the good governance recommendations generally recognized in international markets.

The Regulations of the General Meeting of Shareholders were approved on October 14, 2014 and the last modification was approved by agreement of the General Meeting of Shareholders on March 31, 2022.

Regulations governing the Board of Directors

The Board of Directors Regulation sets forth the principles of action and governance of the Board's Committees and Commissions, the basic regulations governing its organisation and functioning, the codes of conduct of its members, its oversight and monitoring system, with the aim of ensuring the highest levels of transparency and efficiency, promoting and overseeing its administration and supervising and acting in representation of social interest.

The Board of Directors Regulation was approved on 14 October 2014 and the last modification was approved by an agreement of the Board of Directors on 27 January 2026.

Audit Committee Regulations

The purpose of the Audit Committee Regulations is to determine the principles of action of the Audit Committee and to establish the basic rules of its organisation and operation, favouring its independence, as well as the rules of conduct of its members.

The Audit Committee regulations were approved on 27 January 2026.

Sustainability and Climate Action Committee Regulations

The purpose of the Sustainability and Climate Action Committee Regulations is to determine the principles of action of the Sustainability and Climate Action Committee and to establish the basic rules of its organisation and operation, as well as the rules of conduct of its members.

The Sustainability and Climate Action Committee regulations were adopted on 27 January 2026.

Internal Code of Conduct in the Stock Market

The Internal Code of Conduct set forth the rules governing management and control of privileged information, transparent communication of relevant facts, treasury share transactions and detecting and handling conflicts of interest. Thereby imposing certain obligations, restrictions and prohibitions on the affected parties, insiders and treasury stock managers with the aim of safeguarding the interests of company and group shareholders and preventing potential abuses, while at the same time encouraging and facilitating the entry of its management and employees as shareholders always in strict compliance with current legislation.

The latest change of the Internal Regulation of Conduct on the Stock Market was approved on 29 October 2024.
